1. FEES AND EXPENSES.
1.1. Fees/retainer. Are paid atomically using Stripe either quarterly or yearly. All client services are don on a pre-paid basics. The quarterly or yearly amount based on what service plans the client has selected.
Do The Monthly development hours linked to each particular support plan roll over?
No not normally. However, when clients initially signs-up with us they usually have a number problems some of these are urgent that are required attention from us ASP because of this we will initially allow hours to roll over example lets say you sign-up for our one of our (Premium care plans) which gives you 4 hour per month of development time (minimum of three month contract period) we will use all the 12 hours off your plan to fix your initial urgent problem if necessary, also you will given the option to buy additional discounted development hours to cover any other work that outstanding at our discounted rate of $50 per hour at a minimum block of time of 5 hours i.e. $250. Our normal non-member rate is $79.99 per hour.
1.2. Expenses. We might incur costs (example buying pro level plugins, photography or hiring external consultants that are not covered by our normal service plans. We will invoice the Client for these costs however we will always get the clients prior agreement before had by email before incurring such costs. Such uncured cost invoices will be paid in 7 business days after the invoice has been sent to the client.
1.3. Invoicing. Are normally generated automatically by our system either quarterly or yearly and are sent out automatically to the email address linked to each clients account. However if you need an additional invoice please contact us on [email protected]
2. TERMS AND TERMINATION.
This agreement shall last from the date of client’s signs up online to the completion of the service period, as described herein. The Client may terminate the Agreement for any reason.
Client must give WP-Tonic (one month notice period) linked to either our quarterly and yearly plans. Clients will give this notice at the 1st business day of a calendar month by email. Upon such notice of termination, the WP-Tonic will provide an invoice to the client outlining ally outstanding costs incurred to the point of such notice that are not covered by client’s normal service plans. No refunds will be given connected to pre-paid service plans out side our normal 30-day initial try-out guarantee.
3. PROPRIETARY RIGHTS.
The Client shall be the owner of all right, title, and interest in any intellectual property in the Website and the Services shall be deemed a Work Made For Hire in accordance with the Copyright Act, as amended from time to time.
WP-Tonic acknowledges and agrees that the Website will contain valuable proprietary rights and disclaims all rights in such rights. WP-Tonic hereby assigns to the Client without further compensation all of its right, title, and interest in the Website and any and all related intellectual property rights thereto.
4. INTELLECTUAL PROPERTY WARRANTY.
WP-Tonic warrants and represents that it will not knowingly violate the intellectual property rights of any third party in its performance of the Services. The Client warrants and represents that any content provided to the WP-Tonic to facilitate the performance of the Services shall not violate the intellectual property rights of any third party and shall indemnify the WP-Tonic against any claim that results from the provision of such allegedly infringing content.
5. JURISDICTION AND VENUE.
This Agreement shall be construed with and governed by the substantive laws of the State of Nevada, USA. Should any claim or controversy arise between the Parties under the terms of this Agreement, such claim or controversy shall be resolved only in the state or federal courts located in County of Washoe, Nevada, and said state and federal courts for the State of Nevada shall be the only appropriate jurisdiction and venue for such claim or controversy.
We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by WP-Tonic will only be in connection with the provision of agreed services. All client business information WILL not be shared with any third party entices unless written permission has been given by the client or WP-Tonic has received a court order to share such information.
7. QUALITY OF SERVICE PARAMETERS
We complete most non-urgent tasks* in 48 hours during Monday to Friday. If you request a task over the weekend, we generally start looking at these tasks on Monday by noon PST unless we deem it to be urgent.
Urgent work (example) we classify urgent tasks as either your website has been hacked, members can’t login or new members can’t sign up.
7.1. What does 24/7 support really mean? Most jobs are completed Monday to Friday, during WP-Tonic’s normal business hours. We monitor incoming tasks over the weekend, so if there’s an urgent issue comes up we can call in a WP Tonic developer for extra help and get your website up and running as ASP.
